1. Scope of these terms and conditions ("Terms")

1.1 These Terms exclusively govern the relationship between Reichelt Elektronik GmbH & Co. KG, Elektronikring 1, 26452 Sande /Germany ("we" or "us") and the customer ("you") resident in either the United Kingdom or the Republic of Ireland. No terms of purchase or order provided by you the customer will apply. We reserve the right to alter our Terms from time to time, but only the Terms in force at the time of the conclusion of an order will apply to such order, regardless of any subsequent amendments.
The latest version of our Terms is available at www.reichelt.com ("Our Site") or on request.
In addition to these Terms, any licence terms and conditions from or with the manufacturer of a product on Our Site may also apply. Product names and logos are the property of the manufacturers and may not be used without their express permission.
Product images appearing on Our Site are provided by way of illustration only and may differ from the products actually delivered.

1.2 We can accept orders, from and deliver to, countries outside the United Kingdom if the particular country can be selected in the country menu of our Site and subject to any legal restrictions which may apply. If you require delivery to a country which is not on the menu, please contact us directly at export@reichelt.com and we will try to help you if we can.

1.3 These Terms supersede and replace all previous versions.

1.4 The information we provide about our products (including specifications) and any offers on Our Site are subject to change. We continually undertake technical development and improvement of products and we reserve the right to make changes in design and specification. This also applies to, but is not limited to, modifications which we make in order to maintain our ability to deliver our products, and any price adjustments.

2. Contract Formation

2.1 The presentation of products on Our Site does not represent a legally binding offer. By clicking the "purchase" button you place a binding order ("Order") for the goods. Upon receipt of your Order we will immediately send you an acknowledgement ("Acknowledgment"); however, the Acknowledgment does not constitute acceptance of your Order. We will accept your Order by sending a confirmation email, or by delivering the goods within five days of our Acknowledgment. If you are unable to place your Order via Our Site, you can send a written order to Reichelt Elektronik GmbH & Co. KG, Elektronikring 1, 26452 Sande/DE or send us an email to export@reichelt.com.

2.2 The contract language in the UK and the Republic of Ireland is English.

3. Right of Cancellation

3.1 Costs in the event of cancellation
If you exercise your right of cancellation you will bear the costs of returning the goods within the UK and within the Republic of Ireland.

3.2 Cancellation instructions for private customers ("consumers") within the EU

Right of cancellation for consumers
If you are a consumer you have the right to cancel the contract without the need to provide any reason. The period in which you may cancel is fourteen days from the date that you receive the final item of your Order ("Cancellation Period"). To exercise your right of cancellation, you must inform us of the decision to cancel by means of an explicit declaration (e.g., by a letter sent by post mail, fax or email) ("Cancellation Request") to one of the following addresses:

You can use the return shipment slip which you can obtain if you request it, However this is not essential. The cancellation will be valid if we receive either the Cancellation Request, or the goods themselves before the expiry of the Cancellation Period.

Consequences of cancellation
In the event that you cancel the contract, we will refund all payments which we have received from you, including minimum delivery costs (i.e. the least expensive delivery method we offer), not later than fourteen days from receipt of your Cancellation Request.

We will use the same means of payment that you used for the original purchase, unless we, in our absolute discretion, expressly agree to do otherwise; you will never be charged a fee for this refund.

We may withhold the refund until we have received the returned goods or until you have furnished satisfactory proof that you have sent the goods back to us (whichever takes place first).
You must return or transfer the goods to us immediately, and in all circumstances before the expiry of the Cancellation Period. You will have complied with the above if you send the goods prior to the expiry of the Cancellation Period.

You will be responsible for the costs of returning the goods which costs can be viewed online at shippingcosts.reichelt.com. If you use the return label which we will send you at your request, such costs will be limited to the costs specified online. If you do not use the return label, you must pay the whole amount of the costs for returning the goods.

You are solely responsible for covering any loss in value of the goods if this loss in value is based on unnecessary handling of the goods in order to inspect their characteristics, properties or functionality.

No cancellation right for certain goods
If the seal has been removed after delivery of audio or video recordings or computer software in a sealed package, there is no cancellation right.

3.3 Cancellation within Europe
The right to cancel applies to all EU countries.
Outside Germany, within the EU, you will be responsible for the costs of returning the goods which costs can be viewed online at shippingcosts.reichelt.com.
If you use the return label which we will send you at your request, such costs will be limited to the costs specified online. If you do not use the return label, you must pay the whole amount of the costs for returning the goods.

4. Return of Goods

4.1 Returns within the UK
We have a special agreement regarding returns with the parcel carrier DHL/Parcelforce Therefore, we ask that consumers who wish to cancel in accordance with clause 3 above use DHL/Parcelforce to return the parcel, using the address label from the return shipment slip we will send you at your request. However, you are not obliged to use DHL/Parcelforce for the effective exercise of the cancellation right.

4.2 Returns outside the UK
Return shipments can be handled easily, safely and inexpensively depending on the country by the respective transport service provider.
For return shipments from outside the UK, you should inform us about the return shipment at retouren.reichelt.com by entering your Order information and the goods you wish to return, and asking for an address label for the return shipment ("Return Request").
Upon receipt we will immediately check your Return Request and will send you an address label for the return shipment.
You can then, depending on your location, send the return shipment with the local post, or another transport service provider, using the address label you have received from us. If you have already paid for the goods, we will immediately refund this amount to you once we have received and checked the goods in accordance with our Terms.
This clause does not limit your legal rights and therefore does not affect your cancellation rights in accordance with clause 3 of our Terms.

5. Price

5.1 The prices listed on Our Site at the time that you place your Order are valid for the delivery of your goods. The prices for consumers indicated in our catalogue and/or Our Site include VAT. If the rate of VAT changes, there may be a delay in amending the prices shown on Our Site, but we will charge VAT at the rate applicable at the time of the Order. For deliveries to customers in some European countries we are obliged to charge the country-specific VAT rate. The VAT rates included in the prices correspond to those of the country pre-selected on Our Site, insofar as legally required.

5.2 All prices are shown exclusive of delivery costs. The delivery costs are set out on Our Site and depend on the weight of packages and the destination country. The shipping rates per country and weight are listed online at: shippingcosts.reichelt.com.

5.3 Additional charges such as delivery charges and VAT are shown on invoices next to the individual net price/total net price.

5.4 Special offers featured on Our Site may be subject to a time limit or may be quantity-dependent. Details are provided in the product description.

6. Payment terms

6.1 Payment methods:
The methods of payment for each country can be viewed online at: payments.reichelt.com
If the selected payment method is, Paypal or Amazon Payments, the invoice amount will be debited after delivery.
If you choose to pay by credit card, your credit card will be charged at the time of order.
In individual cases, we reserve the right to refuse certain types of payments and to only dispatch goods after receipt of payment in advance.

6.2 Payment delay
If you should default on payment, we reserve the right to charge you default interest of 5% above the base interest rate specified by the Bank of England.
In the case of default, we are also entitled to suspend all deliveries of any other Orders or purchases you have made until payment in full has been made. We will not be liable to you for any loss you suffer as a result from this non-delivery.

7. Availability for delivery / partial delivery / replacement delivery

7.1 Delivery of goods is subject to this availability and delivery by our suppliers. Subject to clause 11 below, we exclude liability for loss or damage caused by delayed or incomplete delivery.
If goods are no longer available, we may, with your express prior approval, send goods of equivalent price and quality ("Replacement Goods"). In the event that you are dissatisfied with the Replacement Goods, you can return them to us free of charge. In the event of the unavailability of Replacement Goods, we may cancel the Order. In this case, we will immediately inform you of this and immediately refund any payments already made to us (including any delivery costs).
If any good(s) should be unavailable in the short-term, we will decide, in our own absolute discretion, whether a subsequent delivery will take place free of charge, or if the good(s) is/are listed in an invoice with the instruction: \"Please re-order\".

7.2 We may ship your order in more than one delivery and you are not entitled to refuse a delivery on this basis.

7.3 Damage sustained in transit
If there is any visible damage which has been sustained in transit, you have the right to refuse acceptance of the shipment. However, if you do not discover the damage until after receipt or if there is concealed transport damage (i.e. where the package is in good condition, but the contents are defective), please contact the responsible freight carrier within three working days of receipt in order to register the damaged delivery. Please fill in the form and send it to us with the damaged goods so that a replacement delivery can be made.

8. Retention of title

8.1 The goods remain our property until payment for them has been made by you to us in full.

9. Software, licenses, literature

9.1 In many cases the specific articles (e.g. software) are subject to the manufacturer?s licence conditions, which apply in addition to these Terms. By opening the sealed package and/or using the product, you accept the manufacturer?s licence conditions and are liable for the damages resulting from any breach of the same.

10. Warranty

10.1 We warrant that the delivered items are of satisfactory quality and are suitable for the use which is normal for this type of item.

10.2 For business users (i.e. those exercising their commercial or professional activities) the warranty period is twelve months from the date of shipment of the purchased item.

10.3 If you are a consumer, the warranty period is 24 months from the date of shipment of the purchased item.

11. Liability

11.1 We will not be liable in the case of data loss or destruction. You as the customer are responsible for the safeguarding of your data.

11.2 Nothing in these Terms excludes or limits our liability for (a) death or personal injury arising from our negligence; (b) fraud or fraudulent misrepresentation; (c) breach of the terms implied by section 12 of the Sale of Goods Act 1979 (title and quiet possession); or (d) defective products under the Consumer Protection Act 1987.

11.3 Subject to clause 11.2 above and clause 12 below, we will under no circumstances whatever be liable to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, arising under or in connection with the purchase for: (a) any loss of profits, sales, business, or revenue; (b) loss or corruption of data, information or software; (c) loss of business opportunity; (d) loss of anticipated savings; (e) loss of goodwill; or (f) any indirect or consequential loss.

11.4 The exclusion of liability in this clause 11 also applies to the liability of legal representatives, employees and agents of reichelt elektronik GmbH & Co. KG.

11.5 Except as expressly stated in these Terms, we do not give any representation, warranties or undertakings in relation to our products. Any representation, condition or warranty which might be implied or incorporated into these Terms by statute, common law or otherwise is excluded to the fullest extent permitted by law. In particular, we will not be responsible for ensuring that the products are suitable for your purposes.

12. Our liability if you are a consumer (This clause 12 only applies if you are a consumer.)

12.1 If we fail to comply with these Terms, we are responsible for loss or damage you suffer that is a foreseeable result of our breach of these Terms or our negligence, but we are not responsible for any loss or damage that is not foreseeable. Loss or damage is foreseeable if it is an obvious consequence of our breach or if it was contemplated by you and us at the time we entered into this contract.

12.2 We only supply the products for domestic and private use. You agree not to use the product for any commercial, business or resale purposes, and we have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.

12.3 We do not in any way exclude or limit our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) any breach of the terms implied by section 12 of the Sale of Goods Act 1979 (title and quiet possession); (d) any breach of the terms implied by section 13 to 15 of the Sale of Goods Act 1979 (description, satisfactory quality, fitness for purpose and samples); and (e) defective products under the Consumer Protection Act 1987.

13. Data privacy

13.1 You agree to the processing of your personal details for the purposes of executing these Terms and, additionally, in line with our privacy statement PRIVACY-POLICY.reichelt.com.
We will not transfer personal data to third parties for commercial purposes. Excluded from this are service partners required for the processing of your order. This includes transport companies, our financial service partners, suppliers in warranty cases and advertising distributors for our online and print promotions (e.g. retargeting announcements or shipments of catalogues).

13.2 Insofar as we provide credit for payments, we may collect information about your previous payment activities and credit information on the basis of mathematical-statistical processes using address data (scoring) Schufa, Kormoranweg 5, 65201 Wiesbaden, Germany as well as Creditreform Oldenburg Bolte KG, Neue Donnerschweer Straße 36, 26123 Oldenburg, Germany. In this connection we will provide your personal data required for this credit check to the provider concerned.

13.3 A transfer of any data to service partners always takes place in accordance with the regulations of the Data Protection Act and the Consumer Contracts Regulations. The scope of the transfer is limited to the necessary minimum.

13.4 As the customer, you are entitled to refuse the use of your address data for future advertising purposes on our part at any time. Send your notification of refusal to:

14. Export control, embargo regulations

14.1 Certain products with US-American origin, which are marketed by Reichelt Elektronik, may be subject to US-American as well as European and German export restrictions. You as a customer agree to comply with all restrictions and regulations of the USA, of Germany/EU and/or all other foreign governments or authorities. You also agree not to supply these products either directly or indirectly to countries which are subject to a trade embargo, or to companies or individuals who are named in the US Denied Persons List or similar lists.
You as our customer are legally obliged to inform all recipients of such products of the need to comply with these laws and regulations.

15. Miscellaneous

15.1 Orders sent multiple times - regardless of the reason - must be clearly identified, otherwise each Order will be treated as a new Order and fulfilled separately. We will not be liable for any costs in such cases.

15.2 Each of the individual provisions of these Terms operate separately. If any of these Terms in whole or in part are held not legally valid, the validity of all other provisions shall remain unaffected.

15.3 We may transfer our rights and obligations under a contract to another organisation, but this will not affect your rights or our obligations under these Terms.

15.4 This contract is between you and us. No other person shall have any rights to enforce any of its terms whether under the Contracts (Rights of Third Parties) Act 1999 or otherwise.

16. Governing Law, Jurisdiction and EU online dispute resolution

16.1 A contract for the purchase of products through Our Site and any dispute or claim arising out of or in connection with it will be governed by English law. You and we both agree that the courts of England and Wales will have non-exclusive jurisdiction. However, if you are a resident of Northern Ireland you may also bring proceedings in Northern Ireland, if you are a resident of Scotland, you may also bring proceedings in Scotland, and if you are a resident of the Republic of Ireland, you may also bring proceedings in the Irish courts.

16.2 The European Commission provides a platform for the out-of-court resolution of disputes concerning contractual obligations arising from online contracts for the sale of goods or services. The EU online dispute resolution platform is available at: https://ec.europa.eu/consumers/odr/.
